Dividend Policy


The dividend policy in accordance with the Company's articles of Association is as follows:

  • To incentivize employees and the management team, the Company shall allocate no less than 5% (25% of which is for entry-level employees) and no more than 5% (of which, after offsetting losses) of its pre-tax profits for the current year before deducting the distribution of employee and director remuneration. Employee remuneration (including entry-level employees) shall be paid in stock or cash, and director remuneration shall be paid in cash. The payment shall be approved by a resolution of the Board of Directors with the attendance of at least two-thirds of the directors and the approval of more than half of the attending directors. Furthermore, employee remuneration (including entry-level employees) shall be reported to the shareholders' meeting. At the time of payment, employee remuneration (including entry-level employees) includes employees of subsidiaries in which the Company directly or indirectly holds more than 50% of the shares.
  • If there is a surplus in the annual accounts of the Company, it shall be distributed in the following order:
    A. Collect taxes.
    B. Cover the deficit
    C. The withdrawal of 10% shall be the legal surplus reserve, except when the accumulated legal surplus reserve has reached the total capital of the company.
    D. After the special surplus reserve is set aside or reversed in accordance with relevant laws and regulations, the undistributed surplus at the beginning of the same period shall be accumulated as distributable surplus for shareholders, and the board of directors shall formulate the distribution of surplus.
  • The Company will take into account the company's environment and stage of growth, meet future capital needs and long-term financial planning, and meet the shareholders' demand for cash inflows. According to the future operating conditions, the dividend of 26 distributable earnings shall be allocated. The shareholder dividend shall be 10%~100% of the accumulated distributable earnings, among which the cash dividend shall be included The stock dividend is between 10%~100% of the total dividend of shareholders and between 0% ~ 90% of the total dividend of shareholders.
